Intellectual Property Attorney, NY, NY. Provide advisory legal svcs & manage aspects of corporate transactions relating to intellectual property, technology, privacy, data protection & cybersecurity. Reqs Juris Doctor or Master of Laws deg, or foreign equiv. Must have 3 yrs of exp as an attorney in IP, technology, privacy, data protection & cybersecurity aspects of corporate transactions, incl complex mergers & acquisitions, capital mkts transactions & financing transactions.
Experience must incl: supvg attorneys in connection w/ complex legal matters; & conducting due diligence, as well as drafting & negotiating IP, technology, privacy, data protection & cybersecurity sections, as applicable, of the following types of docs: diligence memoranda, merger, equity & asset purchase agreements (& rltd disclosure schds), transition svcs agreements (& rltd exhibits, incl data processing addenda), invention/intellectual property assignment agreements, license agreements, covenants not to sue, co-existence agreements, name agreements, IP contribution agreements, & other ancillary transaction docs; & privacy policies, employee/contractor invention assignment agreements, master svcs agreements, license agreements (incl complex cross-licenses), collaboration/dvlpmt agreements, settlement/co-existence agreements, data processing agreements & other strategic agreements. Must be licensed to practice law in NY.
