Overview

A leading hedge fund is seeking a highly motivated Funds Counsel to join its growing legal team in New York. Reporting directly to the General Counsel, this role offers the opportunity to work on complex fund formation matters and play a key part in shaping the legal framework of the business. The position is ideal for a lawyer with strong asset management experience who is looking to transition into a dynamic buy-side environment.

Key Responsibilities

• Partner with the General Counsel on the development and implementation of the firm's fund formation legal framework.
• Assist with the structuring, formation, and launch of private funds, including master-feeder, parallel, and co-investment structures.
• Draft, review, and negotiate fund documentation, including offering memoranda, side letters, subscription agreements, and related materials.
• Manage and coordinate relationships with external counsel, administrators, and internal stakeholders (compliance, tax, investor relations, investment professionals) throughout the fund launch process.
• Provide ongoing support for fund maintenance, amendments, restructurings, and investor onboarding.

Qualifications & Experience

• J.D. degree with strong academic credentials; admission to the New York Bar (or eligibility to register as in-house counsel in NY).
• 3-5 years of relevant legal experience, ideally gained within the funds practice of a leading law firm or the in-house legal team of an asset manager, hedge fund, or private equity firm.
• Demonstrated expertise in private fund structuring, formation, and fund documentation.
• Familiarity with master-feeder, parallel, and co-investment structures.
• Strong drafting, negotiation, and communication skills, with the ability to collaborate across functions and manage multiple stakeholders.
• Proactive, detail-oriented, and comfortable working in a fast-paced, entrepreneurial environment.
